1. Scope

These Terms and Conditions apply to all contracts concluded through the GamesPUP online store between Saban Ferati, trading as GamesPUP, and its customers.

GamesPUP offers digital games and interactive game experiences for online stores, together with related digital services.

2. Formation of the contract

The presentation of products in the online store does not constitute a binding contractual offer.

By completing the ordering process, the customer submits a binding order. The contract is formed when GamesPUP accepts the order or issues the corresponding order confirmation.

3. Ready-to-Play Games

Ready-to-Play Games are offered as digital products.

After a successful purchase, the customer receives the digital content and information required for setup, particularly the corresponding setup guide.

The game is provided through the GamesPUP infrastructure. An active GamesPUP Service Plan subscription is required for setup, activation and continued use.

4. GamesPUP Service Plan

An active GamesPUP Service Plan subscription is required to use a Ready-to-Play Game provided through GamesPUP. The game can only be set up and activated while an active GamesPUP Service Plan subscription exists.

When purchasing a game for the first time, the customer must add the GamesPUP Service Plan to the cart separately and subscribe, unless they already have an active GamesPUP Service Plan subscription.

Customers who already have an active GamesPUP Service Plan subscription do not need to subscribe again when purchasing additional games.

The GamesPUP Service Plan currently costs €19 per month and includes, in particular, hosting, technical maintenance, compatibility updates and ongoing technical improvements to the GamesPUP infrastructure.

The GamesPUP Service Plan is billed monthly and renews for a further monthly billing period unless cancelled.

The subscription can be cancelled at any time. Cancellation takes effect at the end of the billing period already paid for. The service can continue to be used until then.

When the GamesPUP Service Plan ends, provision of the games hosted through GamesPUP also ends. Previously purchased games cannot continue to run on the GamesPUP infrastructure without an active GamesPUP Service Plan.

The one-time purchase price of a game and the GamesPUP Service Plan are separate services. Purchasing a game does not automatically include a GamesPUP Service Plan subscription.

The statutory requirements for online cancellation additionally apply to consumer contracts for continuing obligations that can be concluded online.

5. Custom Games

For Custom Games, GamesPUP creates a game experience tailored to the customer or their brand.

Scope, price, design, deliverables and any additional terms are agreed individually before the project begins.

GamesPUP may use logos, brands, images, product images or other content supplied by the customer to carry out the relevant project. The customer confirms that they hold the necessary rights.

6. Prices and payment

The prices shown at the time of the order apply.

One-time product prices and recurring GamesPUP Service Plan costs are displayed to the customer before the relevant order is completed.

Available payment methods are displayed at checkout.

7. Provision of digital products

Digital products and the information required to use them are provided digitally after the order has been completed successfully.

The customer is responsible for correctly integrating the supplied content in accordance with the GamesPUP setup guide and for the technical requirements of their own online store.

The customer's statutory rights in relation to defective digital products remain unaffected. Consumer contracts for digital products are subject, in particular, to sections 327 et seq. of the German Civil Code (BGB).

8. Rights of use

The customer receives the right to use the purchased game in their own online store within the agreed scope while an active GamesPUP Service Plan subscription is in place.

The GamesPUP code or game files may not be transferred, resold, reproduced or made available to third parties without GamesPUP's express consent.

When the GamesPUP Service Plan subscription ends, the right to continue using the game provided through GamesPUP also ends, to the extent permitted by law.

9. Changes and updates

GamesPUP may make technical adjustments, perform maintenance and provide updates, particularly to improve security, functionality, compatibility or the GamesPUP infrastructure.

For consumers, the statutory requirements and rights relating to changes to digital products supplied on a continuing basis remain unaffected.

10. Liability and statutory rights

The statutory provisions on liability apply.

GamesPUP accepts no responsibility for disruptions caused exclusively by third-party systems, changes or services, or by changes to the customer's online store that were not made by GamesPUP.

Statutory warranty and consumer rights remain unaffected.

11. Right of withdrawal

The statutory provisions on the right of withdrawal and GamesPUP's separate withdrawal policy apply to consumers.

For digital content, the statutory requirements apply to the expiry of the right of withdrawal.

12. Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of mandatory consumer protection provisions in their country of habitual residence.

If any provision of these Terms and Conditions is or becomes invalid, the remaining provisions remain unaffected.
